Terms of Service — Grand Matrix Limited
Last updated: November 4, 2026
1. Who we are
Grand Matrix Limited (瀚雲有限公司) ("Grand Matrix", "we", "us") is a company incorporated in Hong Kong. We provide managed access to third-party artificial intelligence models via application programming interfaces (API), together with related information technology and technical consulting services.
2. These terms
These Terms of Service govern your use of our website and, together with any written service agreement between us, our services. If there is any conflict between these Terms and a written service agreement, the written service agreement prevails.
3. Business clients only
Our services are offered to business clients only, under written agreement. We do not offer services to retail consumers.
4. API access and credentials
Access credentials (including API keys) issued to a client are confidential and may only be used by that client for its own business purposes. The client is responsible for all activity under its account and must notify us promptly of any unauthorised use.
5. Fees and prepaid balances
Unless otherwise agreed in writing, services are provided on a prepaid basis. Usage is metered against the client's prepaid balance, and usage reports or statements are made available to the client. Fees and rates are set out in the applicable service agreement.
6. Acceptable use
Use of the services is subject to our Acceptable Use Policy. We may suspend or restrict access where we reasonably believe that policy, an applicable third-party provider policy, or applicable law has been breached.
7. Third-party models
The services involve models and infrastructure provided by third parties. Model availability, features and output are determined by the relevant third-party providers, and outputs may be subject to their terms.
8. Client data
As between the parties, the client retains its rights in the content it submits through the API. We do not use client API inputs or outputs to train models.
9. Availability and support
We will use commercially reasonable efforts to maintain the availability of the services and to provide technical support, but we do not guarantee uninterrupted or error-free operation.
10. Liability
To the maximum extent permitted by applicable law, our aggregate liability arising out of or in connection with the services is limited as set out in the applicable service agreement, and we are not liable for indirect or consequential loss.
11. Changes
We may update these Terms from time to time. The current version will be published on this website.
12. Governing law
These Terms are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have jurisdiction over any dispute arising out of them.
